These Terms & Conditions ("Terms") govern your access to and use of ChiefXRO.com and any websites, products, subscriptions, programs, content, consulting services, coaching services, digital resources, communications, and other Services offered under the Chief XRO brand (collectively, the "Services").Chief XRO is operated by Happy Valley Publishing, LLC, a Pennsylvania limited liability company ("Chief XRO," "Company," "we," "us," or "our"). By accessing our website, purchasing a product or Service, subscribing to a membership, or otherwise using our services, you agree to these Terms. If you do not agree, please do not use the Services.
You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or use our Services. If you access or purchase Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
Chief XRO provides business consulting, marketing strategy, revenue strategy, coaching, educational content, publishing, digital products, subscriptions, assessments, training, and related services. Specific Services may be subject to additional agreements, proposals, statements of work, order forms, checkout terms, or program-specific conditions. If those terms conflict with these Terms, the terms of the more specific agreement will control with respect to that Service. We reserve the right to modify, replace, discontinue, or change any Service, feature, curriculum, content, schedule, or offering at any time, subject to any contractual commitments we have made to existing customers.
Information provided through Chief XRO is intended for business, marketing, educational, and informational purposes. Our content and Services are not legal, tax, accounting, investment, financial, or other regulated professional advice. You should consult an appropriately qualified professional regarding decisions requiring such advice. You remain responsible for evaluating and implementing any strategy, recommendation, idea, system, campaign, or business decision discussed through our Services.
We may discuss strategies, case studies, examples, revenue improvements, marketing performance, business results, or outcomes achieved by Chief XRO, our founder, our clients, or other businesses. These examples do not constitute a promise or guarantee that you will achieve the same or similar results. Business performance depends on numerous factors outside our control, including your market, offer, pricing, positioning, execution, team, experience, competition, economic conditions, advertising costs, available resources, customer behavior, and implementation. When you purchase a paid Service, you agree to provide current and accurate billing and payment information.You authorize us and our payment processors to charge the payment method you provide for the amount displayed at checkout or otherwise agreed to in writing. Unless otherwise stated, prices are quoted in U.S. dollars. Certain consulting engagements or services may have separate payment schedules contained in a proposal, invoice, statement of work, or service agreement. Failure to make required payments may result in suspension or termination of access to the applicable Service.
Some Chief XRO products, including certain Blackbox memberships or other subscription products, may be offered on a recurring basis. When you purchase a recurring subscription, you authorize us to charge the applicable subscription fee to your payment method at the frequency disclosed at checkout until you cancel. Your subscription will automatically renew unless you cancel before your next renewal date. Cancellation prevents future renewals but does not ordinarily result in a refund of amounts already paid, except where required by law or expressly provided in our Refund & Cancellation Policy. Instructions for managing or canceling a subscription will be provided through the applicable subscription platform, account portal, or by contacting us. We may change subscription pricing upon reasonable advance notice. Any pricing change will apply to a future renewal and not retroactively to a completed billing period.
Refund eligibility varies depending upon the Service purchased. Our current Refund & Cancellation Policy is incorporated into these Terms by reference. If a separate written agreement, checkout page, proposal, or statement of work contains a specific cancellation or refund provision, that provision will govern the applicable purchase.
Unless otherwise indicated, the Services and all materials made available through them are owned by or licensed to Happy Valley Publishing, LLC. This includes, without limitation, written content, newsletters, videos, recordings, training materials, frameworks, methodologies, presentations, graphics, designs, downloads, templates, worksheets, software, prompts, systems, trademarks, logos, product names, and other intellectual property.Your purchase of or access to a Service does not transfer ownership of this intellectual property to you. Unless we expressly grant broader rights in writing, we provide you with a limited, revocable, non-exclusive, non-transferable license to use purchased materials for your own personal or internal business purposes. You may not reproduce, republish, distribute, sell, sublicense, publicly display, create derivative commercial products from, upload into a public database, or otherwise commercially exploit our proprietary materials without written permission. Nothing in these Terms prevents you from independently implementing business concepts, strategies, or recommendations you learn through our Services in your own business.
Names, logos, frameworks, methodologies, and branding associated with Chief XRO, including proprietary Chief XRO methodologies and product names, may constitute trademarks or other intellectual property of Happy Valley Publishing, LLC. No license to use our trademarks, branding, or proprietary product names is granted except as expressly authorized in writing.
Certain consulting, coaching, membership, or advisory Services may involve confidential business information.Where applicable, confidentiality obligations may be further defined by a separate agreement. You agree not to record, reproduce, distribute, or publicly share private coaching sessions, member discussions, proprietary materials, confidential presentations, or other content identified as confidential without our permission. We similarly endeavor to treat non-public business information provided to us during consulting engagements as confidential, subject to applicable agreements and legal requirements.
Testimonials and case studies represent the experiences of particular customers or businesses. Individual results vary, and testimonials should not be interpreted as representations that another customer will achieve identical or similar results. We will not knowingly publish an identifiable client testimonial or case study attributed to you without appropriate authorization.
Chief XRO may use artificial intelligence and AI-assisted technologies as part of our research, analysis, content development, workflows, systems, or delivery of certain Services. AI-generated or AI-assisted information can contain errors, omissions, or inaccuracies. Human judgment remains an important part of our process, but you remain responsible for reviewing business decisions and materials before implementing them. Unless expressly agreed otherwise, our use of AI-assisted tools does not constitute a representation that any output will be error-free, unique, or suitable for every particular purpose.
Our Services may integrate with or link to third-party platforms and providers, including payment processors, email providers, analytics platforms, software services, social networks, scheduling platforms, and other technology providers. We do not control those third parties and are not responsible for their availability, security, policies, performance, content, or practices. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPY VALLEY PUBLISHING, LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM A PARTICULAR SERVICE OR TRANSACTION WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.
